Buyer & Membership Terms
Effective: September 25, 2026
Subscription terms version: buyer_subscription_terms_2026_10_11 (updated October 11, 2026)
1. Buyer eligibility
The marketplace serves business buyers purchasing for lawful commercial and resale purposes. Creating an account and browsing are free. Submitting RFQs, contacting suppliers, and issuing purchase orders require an active Buyer Membership — our Basic Access subscription — and the appropriate roles within your organization.
2. Buyer Membership (Basic Access)
The Buyer Membership, offered during our growth phase as Basic Access, is a low-cost subscription that unlocks buyer transaction features, including unlimited RFQs. The applicable subscription fee is shown at checkout. Membership grants access to tools only; it is not a guarantee of supply, pricing, availability, or any particular outcome.
3. Billing, renewal, and cancellation
Membership is billed on the cadence shown at checkout (monthly during our current growth phase). Where the plan renews automatically, it renews at the then-current price on the stated billing date until cancelled; the renewal cadence, price, and charge date are disclosed at purchase. You may cancel as described at checkout and in your account; cancellation takes effect at the end of the current paid period. Fees already paid are non-refundable except where these terms or applicable law require otherwise, and no retroactive refunds are given for unused time unless required by law. If a payment fails, access may be suspended after a grace period. Price changes apply prospectively only, and materially different charges require your consent. There is no automatic upgrade to a higher tier without your action.
Changes to Subscription Fees — Suppliers and Buyers
For purposes of this clause, "Subscriber" means any supplier or buyer subscribing to services provided through the Sentrick platform.
The Company reserves the right, in its commercial discretion, to modify its monthly or annual subscription fees, including by increasing such fees, from time to time as it considers appropriate to address operational needs, service development, changes in costs, or market conditions, without obtaining the Subscriber's separate prior approval or negotiating the adjustment individually, to the extent permitted by applicable law.
The Company will notify the Subscriber of the revised fees and their effective date through the Subscriber's registered email address or an electronic notification within the Subscriber's account at least thirty (30) days before the adjustment takes effect, or such longer period as applicable law requires. Revised fees will apply beginning with the first subscription renewal occurring on or after the effective date. No adjustment will apply retroactively or alter the fees for a current subscription term already paid for.
A Subscriber who does not wish to renew at the revised fees may cancel automatic renewal before the renewal date using the Company's published cancellation procedures. If automatic renewal remains enabled, the revised fees will be charged under the Subscriber's existing valid payment authorization, unless applicable law requires additional consent.
Any price offered at registration or under a promotional offer does not constitute a commitment to maintain that price for future renewals, unless the Company expressly agrees otherwise in writing. Nothing in this clause limits any mandatory rights, notice requirements, or consent requirements under applicable law.
4. Orders and payment
An order becomes binding only upon acceptance under the applicable transaction documents. Totals, taxes, and any marketplace commission are calculated server-side from the immutable order record. Payment is governed by the Payment Terms; bank transfer / ACH is the default rail, and any card processing is charged to the payer at actual cost.
5. Buyer responsibilities
Buyers are responsible for verifying that ordered products meet their intended use, for lawful resale, storage, handling, and downstream compliance, for prompt inspection and documented claims within the applicable claim period, and for providing valid tax or resale documentation where required.
6. Conduct and suspension
Buyers must comply with the Acceptable Use and Marketplace Integrity policies. Sentrick may suspend or terminate membership or access for non-payment, prohibited conduct, or legal, safety, or fraud concerns.
